Food Recruit Terms & Conditions

TheseTerms and Conditions (the "Terms") govern the provision ofrecruitment services by Food Recruit Ltd, 794 High Street, Kingswinford,West Midlands, DY6 8BQ (Company Number 12788663). ("FoodRecruit", "we", "us", or "our") to ourclients ("Client", "you", or "your"). By engagingFood Recruit to provide recruitment services, you agree to be bound by theseTerms. If you disagree with these Terms, please do not use our services.
Services
FoodRecruit is a recruitment agency specialising in placing permanent staff in thefood industry. We provide recruitment services, including but not limited tocandidate sourcing, screening, interviewing, and reference checking.
Client Obligations
Byengaging Food Recruit for recruitment services, you agree to:
a) Provide accurate and complete information about your company, the job vacancy,and the required candidate qualifications and experience.
b) Cooperate with Food Recruit in the recruitment process, including providingtimely feedback on submitted CVs and interview performance within 7 days ofsubmission or interview, unless otherwise agreed due to holidays or sickness.
c) Notify Food Recruit immediately if a candidate is hired because of ourservices.
d) Comply with all applicable laws and regulations, including but not limited toemployment, data protection, and equal opportunities.
Fees
a) Unless otherwise agreed in writing, the fee for our recruitment services is a minimumof 15% of the candidate's first-year annual gross salary. The minimum fee willapply if no fee has been formally agreed upon.
b) All fees exclude applicable taxes, which shall be added to the invoice at theprevailing rate.
c) International clients will be invoiced in GBP.
Payment Terms
a) Invoices are payable within 30 days of the invoice date.
b) If payment is not received within the specified time, Food Recruit reserves theright to charge interest on the overdue amount at the rate of 5% per annumabove the base rate of Monzo Bank from the due date until the date of actualpayment, whether before or after judgment.
Replacement Guarantee
If a candidate placed by Food Recruit leaves their employment within 12 weeks ofthe start date, we will make every effort to find a suitable replacement at noadditional cost, provided that:
a) The original invoice has been paid in full and within the payment terms.
b) The Client has notified Food Recruit in writing within 7 days of thecandidate's departure.
c) The candidate's departure is not due to a change in the job description,redundancy, or other factors beyond the control of Food Recruit.
Liability
FoodRecruit shall not be liable for any loss, damage, or expense arising from ourrecruitment services, except to the extent that such loss, damage, or cost isdirectly attributable to our negligence or breach of these Terms. In no eventshall our liability exceed the total fees paid by the Client for therecruitment services.
Direct Approaches
Supposea candidate introduced by Food Recruit is directly approached and hired by theClient within 12 months of the initial introduction. In that case, the minimumfee will be applicable, and the provisions of these Terms shall apply.
Confidentiality
Allinformation provided by the Client to Food Recruit concerning our recruitmentservices shall be treated as confidential and used solely to provide therecruitment services.
Termination
Eitherparty may terminate the agreement to provide recruitment services by givingwritten notice to the other party. Termination shall not affect any rights orobligations accrued before the termination date, including the payment of anyfees due to Food Recruit.
Force Majeure
Neitherparty shall be liable for any failure or delay in performing its obligationsunder these Terms due to circumstances beyond its reasonable control, includingbut not limited to acts of God, war, terrorism, civil unrest, industrialdisputes, fire, flood, or other natural disasters. In such circumstances, theaffected party shall be entitled to a reasonable extension of time to performits obligations.
Changesto the Terms
Wereserve the right to modify or update these Terms at any time without priornotice. Your continued use of our recruitment services after posting anychanges to these Terms constitutes your acceptance of such changes. Accordingly,we encourage you to periodically review these Terms to stay informed about ourpractices and your obligations.
Governing Law and Jurisdiction
TheseTerms and the provision of our recruitment services shall be governed by andconstrued by the laws of the United Kingdom. Any disputes arising out of or inconnection with these Terms or our recruitment services shall be subject to theexclusive jurisdiction of the courts of the United Kingdom.
Severability
Supposeany provision of these Terms is invalid or unenforceable by a court ofcompetent jurisdiction. In that case, such provision shall be severed from theremainder of the Terms, which shall remain in full force and effect.
Waiver
Nowaiver of any term or condition of these Terms shall be deemed a further orcontinuing waiver of such term or condition or any other term or condition, andany failure by Food Recruit to assert a right or provision under these Termsshall not constitute a waiver of such right or provision.
Entire Agreement
TheseTerms and any other written agreements between Food Recruit and the Clientconstitute the entire agreement between the parties concerning the provision ofrecruitment services and supersede any prior agreements, understandings, orrepresentations, whether written or oral, relating to the subject matter hereof.
